These Terms of Service ("Terms") govern your use of the Ausculta Cor platform and services provided by Winter Shand Ltd ("Company," "we," "us," or "our"), a private limited company incorporated under the laws of England and Wales (Companies House No. 17339504). Conversational service delivery is subcontracted to Winter Shand Inc., a corporation organized and existing under the laws of the Republic of the Philippines with its principal office in Makati, Metro Manila, under an intercompany service agreement.
Ausculta Cor is a Business Process Outsourcing (BPO) platform operated by Winter Shand Ltd, with on-demand live video sessions delivered by trained BPO agents employed and supervised on-site in Makati by Winter Shand Inc. under a documented Code of Conduct. Sessions consist of conversational support, active listening, and English conversation practice, and are non-clinical in nature. By accessing or using the platform, you engage Winter Shand Ltd to provide these non-clinical professional communication services in accordance with these Terms.
Scope & Limitations. The Service is expressly not a dating or matchmaking service, not an adult, sexual, or escort-related platform, not a licensed therapy, counseling, or medical service, not a video-chat entertainment or webcam service, and not a crisis or emergency helpline. Use of the Service in any manner inconsistent with this scope is a material breach of these Terms and grounds for immediate termination without refund.
Purchase of Service Credits is required in order to access the services. All transactions shall be processed in United States Dollars (USD).
Nature of Credits: Service Credits constitute a prepayment for professional services, labor, and platform access. Such credits do not constitute currency, shall have no monetary value outside the platform, and are strictly non-transferable.
Statement Descriptor: You acknowledge and agree that all charges will appear on your bank or credit card statement under the descriptor "AUSCULTA COR" or "WINTER SHAND LTD".
Clients agree to use the platform solely for lawful purposes in accordance with the laws of the Philippines. We reserve the right to suspend or terminate any account engaged in illegal, harassing, or otherwise prohibited activities as defined under applicable Philippine law.
The Company provides the services on an "as-is" basis, without warranties of any kind. While we endeavor to maintain continuous platform availability and optimal performance of our video communication technology, we shall not be held liable for any indirect, incidental, special, or consequential damages arising from technical disruptions, service interruptions, or internet connectivity issues attributable to the client or third-party service providers.
To protect the privacy of all parties and maintain the security and integrity of our services, customers are prohibited from making unauthorized audio recordings, video recordings, screen recordings, screenshots, reproductions, retransmissions, publications, or disclosures of communications, calls, meetings, chats, or interactions conducted through this website, platform, or any Company communication channels.
Any Company-authorized recording of communications shall be undertaken solely for legitimate business purposes, including quality assurance, training, compliance, customer support, dispute resolution, security, and service improvement, subject to applicable Philippine laws and regulations.
Customers shall not reproduce, distribute, publish, exploit, or disclose any confidential, proprietary, personal, or business information obtained through their interaction with the Company without prior written consent.
Any unauthorized recording, use, disclosure, or dissemination may result in suspension or termination of access to Company services and may subject the responsible party to appropriate legal remedies under applicable Philippine laws, including civil, administrative, and/or criminal actions where warranted.

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal actions shall be filed exclusively in the courts of City of Makati, Metro Manila.
